Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you ("you", "User") and WeServeAI LLC("Company", "we", "us") governing your access to and use of APY Machineand any related websites, applications, APIs, and content (collectively, the "Service"). By accessing or using the Service, by creating an account, or by clicking "I agree" (or similar) when prompted, you accept and agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and capable of forming a legally binding contract under the laws of your jurisdiction to use the Service. You represent and warrant that you meet these requirements. The Service is not intended for use by anyone under 18.

You may not use the Service if you are barred from doing so under applicable law or if your access has been previously suspended or terminated by us.

APY Machine provides analytical and research tooling for publicly traded securities and listed options contracts, including filtering, sorting, fundamentals views, and computed metrics such as annualized returns and implied volatility. Data is sourced from third-party providers and is provided on an informational basis only.

The Service may be updated, modified, or discontinued in whole or in part at any time, with or without notice.

THE SERVICE IS NOT A BROKER-DEALER, INVESTMENT ADVISER, FINANCIAL PLANNER, OR TAX OR LEGAL ADVISOR. NOTHING PROVIDED THROUGH THE SERVICE — INCLUDING ANY ANALYTICS, METRICS, OPPORTUNITY VIEWS, RANKINGS, FILTERS, NOTIFICATIONS, OR USER INTERFACES — CONSTITUTES INVESTMENT, LEGAL, TAX, ACCOUNTING, OR ANY OTHER PROFESSIONAL ADVICE, AND NOTHING IS A RECOMMENDATION TO BUY, SELL, OR HOLD ANY SECURITY OR DERIVATIVE.

Options and other derivative instruments involve substantial risk and are not suitable for every investor. You may lose part or all of your invested capital, and certain strategies can produce losses exceeding the initial investment. Past performance does not guarantee or imply future results.

You are solely responsible for all investment, trading, and financial decisions you make, and for consulting qualified professionals before acting on any information presented by the Service.

The Service depends on third-party providers for market data, identity, payments, hosting, and other functions. We do not control, and we do not warrant the accuracy, completeness, timeliness, or availability of any third-party data or service. Quotes, fundamentals, analyst estimates, and options chains may be delayed, incomplete, or incorrect. You should not rely on the Service as the sole source of any information used for a trading or investment decision.

To access most features you must create an account and may be associated with one or more organization workspaces. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

An organization administrator may control workspace membership, billing, and shared resources within a workspace. By joining a workspace you authorize the administrator to manage your access to that workspace.

Certain features require a paid subscription. Subscription fees, billing intervals, available plans, and features are described at the time of purchase. Subscriptions automatically renew for successive periods at the then-current rate unless cancelled by you before the renewal date. You authorize us and our payment processor to charge your payment method for all applicable fees and taxes.

Except where required by applicable law, all fees are non-refundable. We may change pricing or plan features with reasonable notice; changes apply to renewals after the notice period.

You agree not to, and not to permit anyone to:

• use the Service in violation of any applicable law, regulation, or third-party rights;
• attempt to gain unauthorized access to any portion of the Service, other accounts, or related systems or networks;
• scrape, crawl, harvest, or otherwise extract data from the Service by automated means except as expressly permitted in writing;
• redistribute, sublicense, resell, or otherwise commercially exploit data or content from the Service outside the intended user interface;
• reverse engineer, decompile, or attempt to derive the source code of the Service;
• upload viruses, malware, or other harmful code, or interfere with the operation of the Service;
• impersonate any person or misrepresent your affiliation with any person or entity.

The Service, including its software, design, text, graphics, and other content (other than User Content), is owned by or licensed to WeServeAI LLC and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use. All rights not expressly granted are reserved.

You retain ownership of content you submit to the Service (such as watchlist entries, saved filters, notes, and portfolio data) ("User Content"). You grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, and process User Content as necessary to operate and improve the Service. You are responsible for User Content and for ensuring you have the right to provide it.

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT MARKET DATA, ANALYTICS, OR OTHER CONTENT WILL BE ACCURATE, CURRENT, OR COMPLETE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WESERVEAI LLC OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR ANY TRADING OR INVESTMENT DECISIONS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless WeServeAI LLCand its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of or access to the Service; (ii) your violation of these Terms; (iii) your violation of any law or third-party right; or (iv) any trading, investment, or financial decision you make using the Service.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.

These Terms are governed by the laws of the State of Georgia, United States of America, without regard to its conflict-of-laws principles. The exclusive venue for any action arising out of or related to these Terms or the Service will be the state or federal courts located in Fulton County, Georgia, United States of America, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Except for claims for injunctive or equitable relief or claims regarding intellectual property rights, any dispute, controversy, or claim arising out of or related to these Terms or the Service will be resolved by binding individual arbitration administered in Fulton County, Georgia, in accordance with the then-current rules of a reputable arbitration provider. The arbitrator's award will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

You and WeServeAI LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action.

We may update these Terms from time to time. If we make material changes we will provide reasonable notice (for example, by updating the version date above or notifying you within the Service). Your continued use of the Service after the new effective date constitutes acceptance of the updated Terms.

These Terms, together with any policies referenced (including the Privacy Policy and any workspace-specific disclaimers), constitute the entire agreement between you and WeServeAI LLC regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
